IR POLICY

  1. Objective of the IR Policy

HUI S.p.A., a company based in Italy and listed on Vienna Stock Exchange, on Direct Market segment, is committed to maintaining transparent, timely, and fair communication with all its stakeholders, including shareholders, investors, financial analysts, and the market in general. This policy defines the principles and guidelines that govern the company’s Investor Relations activities, in compliance with applicable Italian, Austrian, and European regulations.

 

  1. Communication Principles

 

  • Transparency: provide complete and accurate information regarding financial performance, corporate strategies and significant developments
  • Timeliness: disclose information to the market promptly, in accordance with the prevailing regulations of the Vienna Stock Exchange and supervisory authorities.
  • Fairness: ensure that all investors have simultaneous access to material information, avoiding selective disclosures.

 

  1. Communication Channels

HUI S.p.A. uses the following channels to communicate with the market:

  • Corporate Website: dedicated Investor Relations section with documents in english and italian language.
  • Press Releases: distributed through recognized news agency and published on corporate website, Investor Relations section.
  • Mandatory Publications: distributed through Gazzetta Ufficiale of Italian Republic and/or financial newspapers.
  • Financial Reports: publication of annual statements and management reports.
  1. Information Disclosure Policy

 

  • Regulatory Compliance: all communications will be carried out with applicable law and regulations including Austrian FMA, Vienna Stock Exchange and Bank of Italy.
  • Information disclosure procedures: every information to be disclosed will be prepared by Investor Relations and Corporate Finance team and approved by corporate management.
  • Price-sensitive information: will be disclosed immediately to the market through Company page on Wiener Borse AG site and Corporate Website, Investor Relations section, in line with EU Regulation No. 596/2014 (MAR) on Market Abuse. 

 

  1. Privileged informations and Internal dealings

 

  • Insider Trading prevention: HUI S.p.A. adopts rigorous measures to prevent the misuse of privileged information, in accordance with European and Austrian regulations.
  • Insider Register: maintenance of a register of persons who have access to privileged information, as required by MAR guidelines.
  • Internal Dealings:  HUI S.p.A. monitors and discloses transactions involving the company’s shares or other financial instruments carried out by persons discharging managerial responsibilities (PDMRs) and persons closely associated with them. Such transactions are reported and disclosed in compliance with MAR and applicable Austrian regulations, ensuring transparency and preventing market abuse.

 

  1. Interaction with Investors

 

  • Information requests: the Investor Relations and Corporate Finance team is available to answer questions and provide clarifications in compliance with disclosure regulations.
  • Meetings with Investors: organization of roadshows, conference calls, and one-on-one meetings with institutional investors and analysts, both in Italy and internationally.
  • Quiet Periods: in the 30 days preceding the publication of annual financial results, the company observes a quiet period during which it limits interactions with stakeholders to prevent unintentional disclosures.
  • Non Public Informations: non public or privileged information will not be disclosed during interactions with investors.
  1. Policy Update

This IR Policy will be reviewed periodically to ensure alignment with current regulations in Italy, Austria, and at the European level, as well as with industry best practices. Any changes will be promptly communicated through the company’s official channels.
